Does Virginia Have a “Certificate of Formation”?

No. “Certificate of Formation” is the name Delaware, Texas, Washington, and New Jersey give to the document that creates an LLC. Virginia does not use that phrase for limited liability companies. In Virginia, the charter document is the Articles of Organization, provided by the State Corporation Commission as Form LLC-1011, and it is governed by the Virginia Limited Liability Company Act at Title 13.1, Chapter 12 of the Code of Virginia. If you actually meant to form a corporation rather than an LLC, Virginia still does not use a “Certificate of Formation.” A Virginia stock corporation is created by filing Articles of Incorporation under Title 13.1, Chapter 9 (the Virginia Stock Corporation Act). The corporation fee is a filing fee plus a charter fee based on the number of authorized shares, so a small corporation pays more than an LLC's flat $100.
